Terms of Service

1. Acceptance

By creating an account and using the Kodac Checkout platform ("Kodac", "Service", "Platform"), you ("Merchant", "User") fully agree to these Terms of Service and to the Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Kodac Checkout is a B2B SaaS platform that offers:

  • Custom checkout for Shopify stores (white-label)
  • Real-time net profit calculation (P&L)
  • Integrations with payment gateways (Whop, Ocean, PayPal, Shopify Payments)
  • Ad spend synchronization (Google Ads, Meta Ads)
  • Server-side conversion tracking (Meta Conversions API, Google Ads CAPI)
  • Multi-store management dashboard for merchants

3. Account and Responsibilities

You are responsible for keeping your access credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorized use at contact@kodac.io.

You are solely responsible for:

  • Compliance with applicable laws (Brazil's LGPD, GDPR, tax, and consumer protection laws)
  • The content of products sold through Kodac
  • Communication with your end customers
  • Compliance with the terms of integrated platforms (Shopify, Meta, Google)

4. Acceptable Use

You agree NOT to use the Service to:

  • Sell illegal or counterfeit products, or products that violate Brazilian law
  • Commit fraud, money laundering, or tax evasion
  • Infringe copyrights, trademarks, or intellectual property
  • Distribute malware, phishing schemes, or malicious scripts
  • Attempt to access other merchants' accounts or bypass authentication mechanisms
  • Reverse-engineer, decompile, or copy substantial portions of the platform's code
  • Access the Service through automated means (bots, scrapers, crawlers, AI agents, or any tool that browses or extracts data on your behalf) without our prior written consent. Automated access does not include the official integrations we provide
  • Use the Service, or any knowledge of how it works obtained through it, to build, train, or assist a product or service that competes with Kodac
  • Share your credentials, or grant access to your account, to any third party, including automated tools acting on your behalf. Access is personal to you and to the team members you invite through the Service
  • Probe, scan, or test the vulnerability of the Service, or circumvent any technical measure we use to protect it

Where we detect automated or abnormal access patterns, we may throttle, suspend, or terminate the account and preserve the related logs as evidence.

We reserve the right to suspend or terminate accounts that violate these rules, without refunding amounts paid.

5. Payments and Refunds

Kodac's paid plans are billed monthly or annually depending on the plan chosen. Refunds are available within 7 days of purchase for new customers (under Brazil's Consumer Protection Code — right of withdrawal).

Cancellation can be done at any time from the dashboard. Access continues until the end of the paid period.

6. Availability

We strive to keep the Service available 24/7, with a monthly uptime SLA of 99.5%. We are not responsible for interruptions caused by:

  • Scheduled maintenance (announced at least 24 hours in advance)
  • Third-party provider outages (Vercel, Supabase, Shopify, Meta, Google)
  • Force majeure events (cyberattacks, internet outages, etc.)

7. Intellectual Property

All software, design, logos, and trademarks associated with Kodac are the exclusive property of Kodac. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your active subscription.

The data you enter or generate on the platform (products, orders, customers, metrics) belongs to you. Kodac only hosts and processes that data as authorized by you.

8. Limitation of Liability

Kodac is not liable for:

  • Lost profits, lost sales, or indirect damages resulting from the use or unavailability of the Service
  • Decisions made by merchants based on the calculated metrics
  • The content, quality, or legal compliance of products sold by merchants
  • Acts of third-party providers (payment gateways, advertising platforms)

In any case, our total liability is limited to the amount paid by the merchant over the preceding 12 months.

9. Termination

You may cancel at any time from the dashboard. After cancellation, your data is retained for 30 days in case you wish to reactivate, and is then deleted in accordance with our Privacy Policy.

We may terminate your account with 30 days' notice in cases of prolonged inactivity (more than 12 months without logging in), or immediately in the event of a violation of these Terms.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use of the Service after an update constitutes acceptance of the new terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the city of São Paulo, SP, Brazil, are elected to settle any disputes, with the parties waiving any other venue, however privileged it may be.
